By accessing or using the Website, you confirm that you have read, understand, and agree to be bound by these Terms and our Privacy Policy (the "Privacy Policy"), which is incorporated by reference and forms part of this agreement (collectively, the "Agreement"). If you do not agree, do not access or use the Website.
If you accept the Agreement on behalf of a company, practice, or other legal entity, you represent and warrant that you have authority to bind that entity. In that case, "you" and "your" refer to that entity.
We may update, modify, suspend, or discontinue the Website (or any part of it) at any time. We may also revise these Terms. If we revise them, we will post the updated version on the Website and update the "Last Updated" date. By continuing to use the Website after changes are posted, you agree to the revised Terms. If you do not accept the revised Terms, your only remedy is to stop using the Website.
Platform Terms Control. Symbal also offers a proprietary software-as-a-service platform (the "Platform") governed by separate terms (the "Platform Terms"). If there is any conflict between these Website Terms and the Platform Terms, the Platform Terms govern solely with respect to your access to or use of the Platform.

5. Feedback
If you provide suggestions, ideas, feedback, or other input about the Website or our services ("Feedback"), you agree that Symbal may use the Feedback for any purpose without restriction, compensation, or attribution. Please do not submit confidential information through the Website or via email unless Symbal has expressly requested it and provided a secure method.
6. Disclaimers; No Warranties
THE WEBSITE AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYMBAL DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.
The Website may contain errors, inaccuracies, or omissions. Symbal may make changes, corrections, or improvements at any time without notice.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
SYMBAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR CONTENT, EVEN IF SYMBAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SYMBAL'S TOTAL LIABILITY FOR ANY DIRECT DAMAGES ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not permit certain limitations of liability, so some of the above limitations may not apply to you.
8. Third-Party Websites and Links
The Website may include links to third-party websites or resources ("External Sites"). Links are provided for convenience only. Symbal does not control External Sites and is not responsible for their content, policies, or practices. Access External Sites at your own risk.
9. Indemnification
You will indemnify, defend, and hold harmless Symbal and its affiliates, and each of their officers, directors, employees, agents, and representatives (collectively, "Symbal Indemnitees") from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of the Agreement; (b) your misuse of the Website or Content; or (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
Symbal will provide prompt notice of the claim and reasonable cooperation (at your expense), and you will have control of the defense and settlement, provided you may not settle any claim in a way that imposes obligations on Symbal without Symbal's prior written consent.
10. Compliance with Laws
The Website is controlled from the United States. We make no representation that the Website or Content is appropriate or available for use outside the United States. If you access the Website from outside the U.S., you do so at your own risk and are responsible for compliance with applicable local laws.
11. Suspension and Termination
Symbal may restrict, suspend, or terminate your access to the Website (in whole or in part) at any time, with or without notice, and without liability, including if we believe you have violated the Agreement or if we determine it is necessary for security, operational, or legal reasons.
12. Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to the Agreement, the Website, or any related products or services (each, a "Dispute") will be resolved by binding arbitration governed by the Federal Arbitration Act ("FAA").
YOU AND SYMBAL AGREE THAT EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY AND TO BRING OR PARTICIPATE IN A LAWSUIT IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL CLAIMS COURT IF IT QUALIFIES.
Arbitration will be administered by JAMS under its then-current rules. Arbitration may occur by documents, phone, video, or in person. If in person, it will take place in the county where you reside, unless the parties agree otherwise.
Each party will pay JAMS fees in accordance with JAMS rules. Judgment on the award may be entered in any court with jurisdiction.
This section does not prevent either party from seeking provisional or injunctive relief in court to protect intellectual property or confidential information.
13. Class Action Waiver
To the fullest extent permitted by law, you and Symbal agree that Disputes will be brought only on an individual basis. No Dispute may be brought as a class, collective, representative, or private attorney general action, and the arbitrator may not consolidate claims or preside over any form of class proceeding.
14. Equitable Relief
You acknowledge that unauthorized use or disclosure of Symbal's confidential information or intellectual property may cause irreparable harm. Symbal may seek injunctive or equitable relief in any court of competent jurisdiction to protect its rights, in addition to any other remedies.
You consent to the personal and subject matter jurisdiction of state and federal courts located in California for purposes of such injunctive or equitable relief.
15. Governing Law; Forum
The Agreement is governed by the laws of the State of California, without regard to conflict of laws principles, except where federal law applies (including the FAA with respect to arbitration).
Where court proceedings are permitted under these Terms, the parties consent to exclusive jurisdiction in the state and federal courts located in California and waive objections to venue or inconvenient forum.

You may not assign the Agreement without Symbal's prior written consent. Symbal may assign the Agreement in connection with a merger, acquisition, reorganization, or sale of assets.
16.3 No Waiver
Failure to enforce any provision is not a waiver.
16.4 Entire Agreement
The Agreement is the entire agreement between you and Symbal regarding the Website and supersedes prior discussions and agreements about the Website.
16.5 Headings
Headings are for convenience only and do not affect interpretation.
